1) Scope and Acceptance
These Terms govern your access to and use of Unisolva’s website(s), customer portal, and services, including
web hosting, email hosting, website development/maintenance, WordPress services, ERP/Odoo implementation and hosting,
and related consulting (collectively, the “Services”).
By creating an account, placing an order, signing an order form/proposal, or using any Services, you agree to these Terms.
If you use Services on behalf of an organization, you represent you have authority to bind it.
2) Orders, Scope, and Change Requests
- Order terms: Service scope, limits, pricing, and term are defined by your checkout/order, proposal, or SOW (if any). Where there is a conflict, the order/proposal/SOW prevails.
- Out of scope: Anything not explicitly included is out of scope and may require additional fees.
- Client responsibilities: You must provide required access, materials, and approvals in a timely manner. Client-caused delays may affect timelines and do not pause billing unless agreed in writing.
3) Accounts and Security
- You must provide accurate account and billing information and keep it updated.
- You are responsible for safeguarding usernames, passwords, API keys, and admin access.
- Anyone with authorized access to your account may order, modify, or cancel services; you are responsible for access management.
- We may request reasonable verification to protect security and prevent fraud.
4) Acceptable Use
You agree not to use the Services to:
- Violate any law or third-party rights.
- Distribute malware, exploit vulnerabilities, or attempt unauthorized access.
- Engage in phishing, fraud, spoofing, or deceptive practices.
- Send spam or operate unsolicited bulk messaging.
- Host or transmit illegal content or content that causes harm.
We may suspend services that create security risk, platform instability, or involve suspected fraud/abuse.
5) Hosting and Email Services (Limits & Fair Use)
- Plan limits: Storage, traffic/bandwidth, accounts, and other limits apply as described at purchase.
- Fair use: Resource-intensive workloads (high traffic, heavy CPU/database usage, abusive scripts) may require an upgrade or migration to dedicated resources.
- Email: Email services must be used for legitimate communications. We may restrict or suspend sending that triggers abuse indicators, blacklists, or compromises deliverability.
6) Professional Services (Development / ERP / Consulting)
- Professional services are delivered based on the agreed scope (proposal/SOW).
- Professional services and setup work are generally non-refundable for time delivered or committed once work starts, unless stated otherwise in writing.
7) Third-Party Services
Some Services rely on third-party providers (e.g., registries, payment providers, software vendors).
We are not responsible for third-party outages or changes outside our reasonable control. Third-party terms may apply.
8) Backups, Data, and Security
- Backups: Backups (where offered) are best-effort and do not replace your responsibility to keep independent backups of critical data.
- Security: You are responsible for securing your applications (e.g., CMS/plugins), maintaining updates, and protecting credentials.
9) Fees, Billing, Renewals, and Taxes
- Invoices are payable by the due date shown in the portal.
- Auto-renewal: Subscriptions renew unless cancelled before renewal (per portal rules).
- Late payment: We may suspend Services for overdue invoices. Reactivation may require full payment and an administrative fee.
- Chargebacks: Payment disputes/chargebacks may trigger suspension until resolved.
- Taxes: Fees are exclusive of applicable taxes unless stated otherwise. If VAT applies, it will be added per Egyptian law and invoicing requirements.
10) Cancellations and Refunds
Cancellations and refunds are governed by our
Cancellation & Refund Policy
and any terms shown at checkout / in your order or proposal.
In summary (unless your order states otherwise): hosting subscriptions may be eligible for a refund within
14 days of the order date, subject to no abuse/fraud and the exclusions described in the
Cancellation & Refund Policy.
11) Suspension and Termination
We may suspend or terminate Services (with or without notice where legally permitted) if:
- You breach these Terms.
- Payment is overdue.
- Your use creates security risk or platform instability.
- Required by law, court order, or an upstream provider request.
- We reasonably suspect fraud or unauthorized activity.
12) Data After Termination
You are responsible for exporting your data before termination. After termination, we may delete your data after
30 days, unless legal obligations require longer retention.
13) Intellectual Property
Each party retains ownership of its intellectual property. You grant us a limited license to use client-provided materials
solely to provide the Services.
14) Privacy
Our handling of personal data is described in our Privacy Policy.

15) Disclaimers and Limitation of Liability
Services are provided “as is” and “as available”, except as expressly stated in an order/proposal.
To the maximum extent permitted by law, Unisolva is not liable for indirect, incidental, special, consequential,
or punitive damages, or loss of profits, revenue, or data.
16) Changes, Governing Law, and Contact
- Changes: We may update these Terms. Continued use after the effective date constitutes acceptance.
- Governing law: Laws of the Arab Republic of Egypt. Disputes will be submitted to the competent courts of Giza, Egypt, unless your order/proposal states otherwise.
